삼성바이오에피스 옵션행사 바이오젠 CFO 물러난다

(서울=연합뉴스) 경수현 기자 = 삼성바이오로직스(이하 삼성바이오)와 제휴해 지난 2012년 삼성바이오에피스를 설립한 미국의 다국적 생명공학회사 바이오젠의 최고재무책임자(CFO)가 바뀐다.

바이오젠은 21일(현지시간) 새 CFO겸 부회장으로 다른 의료 회사 출신의 마이클 맥다널을 8월 15일자로 선임한다고 밝혔다.

이어 그동안 CFO겸 부회장을 맡아온 제프리 카펠로는 현 업무에서 물러나고 업무 인계인수를 위해 9월 15일까지 한달간 더 회사에 남아있을 것이라고 덧붙였다.

카펠로는 2017년부터 바이오젠 CFO를 맡아 바이오젠이 바이오에피스에 대한 주식매수청구권(콜옵션)을 행사하는 과정에서 바이오젠 입장을 밝히는 등 당시 상황을 알 수 있는 인물이다.

바이오젠의 콜옵션은 삼성바이오 분식회계 논란에서 핵심 쟁점 사안이었다.

앞서 삼성바이오는 당초 자회사 바이오에피스에 대한 바이오젠의 콜옵션을 회계에 반영하지 않고 있다가 2015년 삼성물산-제일모직 합병 이후 1조8천억원의 부채로 잡으면서 회계처리 기준을 변경해 4조5천억원의 장부상 이익을 얻었다.

금융위원회는 이와 관련해 고의 분식회계로 판단, 검찰에 삼성바이오를 고발했다.

당시 박용진 더불어민주당 의원이나 참여연대 등은 삼성바이오의 가치를 부풀려 이 회사의 최대주주였던 제일모직과 제일모직 최대주주였던 이재용 삼성전자 부회장이 삼성물산과 제일모직 간 합병에서 유리한 합병 비율을 받을 수 있었다는 의혹도 제기했다.

이에 대해 수사를 벌인 검찰은 이 부회장에 대한 구속영장을 청구했으나 법원에서 영장이 기각됐고, 지난달 26일 대검찰청 검찰수사심의위원회는 이 부회장에 대한 수사 중단과 불기소를 권고했다.
