(서울=연합뉴스) 이지헌 기자 = 최근 한 달 새 NH투자증권[005940] 사외이사 2명이 연이어 중도 퇴임한 것으로 확인됐다.

NH투자증권은 박상호 삼일회계법인 고문이 13일 사외이사직에서 중도 퇴임했다고 14일 공시했다.

박 고문은 삼성생명[032830] 법인영업본부장과 삼성선물 대표이사 등을 역임하고 지난해 3월부터 NH투자증권 사외이사를 맡아왔다. 임기는 내년 3월 1일까지였다.

NH투자 측은 박 이사의 사퇴 배경에 대해 "일신상의 사유"라고만 밝혔다.

금융투자업계 안팎에선 최근 옵티머스자산운용 펀드 사태 관련 피해 고객 지원방안을 둘러싸고 경영진과 의견 대립을 보여온 것 아니냐는 관측이 나온다.

앞서 NH투자증권 이사회는 지난달 23일 회의에서 옵티머스 펀드 가입 고객에 대한 긴급 유동성 공급안을 논의했으나 "장기적인 경영관점에서 좀 더 충분한 검토가 필요하다"며 결정을 보류했다.

당시 일부 사외이사들은 회사의 법적 귀책 사유가 명확하지 않은 상황에서 투자금 일부를 선지급할 경우 배임 논란에서 벗어날 수 없다는 의견을 제시했던 것으로 전해졌다.

NH투자증권은 이달 27일 임시 이사회를 열어 유동성 공급 방안을 다시 논의할 예정이다.

한편 박 고문에 앞서 박철 법무법인 바른 대표변호사도 지난달 10일 NH투자증권 이사직에서 중도 퇴임했다. 임기는 박 고문과 같은 내년 3월 1일까지였다.

박 변호사의 사임은 법무법인 바른이 옵티머스 관련자들의 형사 사건을 맡으면서 이해관계 상충 이슈가 제기된 데 따른 것으로 전해졌다.

두 사외이사 중도퇴임으로 NH투자의 사외이사는 5명에서 3명으로 줄게 됐다.

정영채 사장과 상근감사, 농협금융지주 및 중앙회 측 인사는 총 4명으로 이사회 7인 중 과반을 차지한다.

NH투자 측은 "박상호 사외이사의 중도퇴임으로 향후 최초로 소집되는 주주총회에서 사외이사를 선임할 예정"이라고 밝혔다.

금융감독원 집계에 따르면 옵티머스운용이 운용한 46개 펀드 5천151억원이 환매 중단됐거나 환매가 어려운 상태다. 이중 NH투자증권의 판매액은 4천327억원으로, 전체의 84%를 차지한다.
