경제단체 "공정거래법 개정안은 투자 저해…도입 신중해야"

경총 등 주요 경제단체, 경제계 공동의견서 공정위에 전달

"지주회사 지분율 규제 강화시 일자리 24만개 창출 여력 잃어"

(서울=연합뉴스) 권희원 기자 = 주요 경제단체들이 지난달 정부가 입법예고한 공정거래법 개정안이 기업의 투자와 일자리 창출을 저해한다며 도입을 보다 신중하게 검토해 달라고 요청했다.

한국경영자총협회(경총), 전국경제인연합회(전경련), 한국중견기업연합회, 한국상장회사협의회, 코스닥협회 등 5개 경제단체는 공정거래위원회에 이같은 내용이 담긴 공동의견서를 전달했다고 20일 밝혔다.

독점규제 및 공정거래에 관한 법률(공정거래법) 개정안은 지주회사 지분율 규제 강화, 일감 몰아주기(사익편취) 규제 대상 확대, 전속고발권 폐지, 과징금 상한 상향 등의 내용을 담고 있다.

경제단체들은 개정안이 경제활동을 위축시키는 규제를 포함하고 있다고 비판했다.

대표적인 예로 지주회사의 자회사·손자회사에 대한 의무 지분율을 높인 것을 들었다.

개정안은 신규로 지주회사가 되거나 기존 지주회사가 자회사·손자회사를 새로 편입하는 경우 충족해야 하는 의무 지분율을 상장회사는 20%에서 30%로, 비상장회사는 30%에서 50%로 상향 조정했다.

단체들은 일반 기업집단이 지주회사 체제로 전환할 때 지분 매입 비용이 늘어나면 신규 투자와 일자리 창출 여력이 줄어들 수밖에 없다고 주장했다.

작년 기준 34개 상호출자제한기업집단 가운데 16개의 비지주회사 기업집단이 지주회사로 전환할 경우 지분 확보에 30조9천억원이 필요한데, 이 비용을 투자하면 24만4천86명을 더 고용할 수 있다는 것이다.

또 그간 지주회사 전환을 유도해온 정부의 정책 방향과도 달라 신뢰성을 떨어뜨릴 수 있다고 우려했다.

일감 몰아주기 규제 대상을 확대하는 데에도 반대 의견이었다.

일감 몰아주기 규제 대상은 현재 총수일가 지분 30% 이상 상장회사, 20% 이상 비상장회사지만 개정안은 모두 20% 이상으로 통일했다.

경제단체들은 규제 대상이 확대되면 계열사 간 거래가 위축되어 거래의 효율성이 떨어진다고 비판했다.

또 규제 기준에 맞추기 위해 총수 일가가 보유한 지분을 계열사에 매각하는 경우 사업을 축소하거나 포기한다는 신호로 인식돼 주가가 하락하고 소수 주주의 피해가 발생할 수 있다고 말했다.

2013년 일감 몰아주기 규제를 도입할 당시에는 규제 대상 기업의 내부 거래 비중이 15.7%였으나 2018년에는 11.2%로 감소해 규제를 강화할 근거도 부족하다고 주장했다.

단체들은 자회사·손자회사 의무지분율 상향 조정과 일감 몰아주기 규제대상 확대가 제도 간 충돌로 이어질 가능성도 있다고 지적했다.

일감 몰아주기 규제 확대는 자회사·손자회사의 지분을 축소하도록 하는 반면 지주회사 지분율 상향은 지분을 늘리도록 하고 있다는 것이다.

전속고발권 폐지에 대해서는 고소·고발 남용을 우려했다.

개정안은 전체 담합 사건의 90% 이상을 차지하며 소비자 피해가 큰 가격·입찰 짬짜미 등 '경성담합'에 대한 공정위 전속고발제를 없애 누구나 경성담합 행위를 검찰에 고발할 수 있게 했다.

단체들은 2018년 우리나라 고소·고발 건수는 48만8천954건인 반면 일본은 연간 1만 건 수준에 불과하다며 이미 우리나라의 고소·고발 남용이 심각한 수준이라고 주장했다.

또 경쟁 사업자가 상대 기업에 피해를 입힐 목적으로 제도를 악용하거나 공정위와 검찰의 중복 조사로 혼란이 발생할 수 있다고 지적했다.

불공정거래행위 피해자가 공정위를 거치지 않고 직접 법원에 위법행위의 금지와 예방을 청구할 수 있는 '사인의 금지청구제' 도입에 대해서는 기존 제도를 보완하는 편이 낫다고 주장했다.

다양한 협력업체와 공정이 연결된 제조업의 경우 일부 업체가 영업 중지를 당하면 전체 공정이 중단되어 피해가 막대하게 증가한다는 이유다.

단체들은 새로운 제도를 도입하기보다 공정거래위원회의 역량을 강화하고 기존 제도를 활용하면 개정안 도입의 목적을 달성할 수 있다고 말했다.
